These Terms and Conditions govern access to and use of the SoftDayta Credit platform, website, software, tools, and related services provided by SoftDayta Credit (“SoftDayta Credit”, “we”, “our”, or “us”), including the microlending operations platform, loan calculator, onboarding support, and optional accounting and advisory services described on our website.

By accessing our website, registering for a workspace, using the platform, starting a trial, or purchasing any service from us, you agree to be bound by these Terms and Conditions. If you do not agree, you must not use our services.

1. Definitions

“Account” means a registered user or customer account created to access the platform.

“Advisory Services” means optional accounting, bookkeeping, reconciliation, reporting, tax support, audit preparation, and related specialist support services offered by SoftDayta Credit.

“Borrower Data” means all personal, financial, transactional, loan, repayment, statement, contract, and related information entered into the platform by or on behalf of the customer.

“Customer” means any individual, business, microlender, company, institution, or authorised user subscribing to or using the services.

“Platform” means the SoftDayta Credit software platform used for borrower records, loan servicing, repayment tracking, statements, collections, contract outputs, and reporting.

“Services” means the platform, website, trial access, loan calculator, onboarding support, and advisory services made available by SoftDayta Credit.

“Subscription” means a paid plan for access to the platform, including SoftDayta Credit, Community Finance Access Programme, or any replacement plans offered by us.

“User” means any person authorised by the customer to access the platform.

“Website” means the SoftDayta Credit website and associated web pages, portals, and hosted interfaces.

2. Eligibility and Authority

2.1 You may only use the services if you are legally capable of entering into a binding agreement.

2.2 If you are using the services on behalf of a company, lending business, partnership, association, or other entity, you warrant that you have authority to bind that entity to these Terms.

2.3 You are responsible for ensuring that all users accessing the platform under your account are authorised and comply with these Terms.

3. Nature of the Services

3.1 SoftDayta Credit provides a structured lending operations platform designed to support microlenders with borrower records, loan servicing, repayment tracking, statements, collections, contract outputs, and portfolio reporting.

3.2 SoftDayta Credit may also provide onboarding support, setup guidance, and optional specialist accounting and advisory support, including bookkeeping, reconciliations, management reporting, tax support, NBFIRA returns, and audit preparation support.

3.3 SoftDayta Credit provides operational and administrative tools. Unless expressly agreed in writing, SoftDayta Credit is not the lender to any borrower, does not make credit decisions on your behalf, does not guarantee recoveries, repayments, compliance approvals, or loan performance, does not provide legal representation, and does not assume responsibility for your regulatory obligations as a microlender.

3.4 You remain fully responsible for your lending decisions, underwriting, interest rates, borrower assessments, collections practices, contract content, regulatory compliance, tax compliance, and business operations.

4. Registration and Account Setup

4.1 To access paid or trial features, you may be required to register a workspace and create an account.

4.2 You agree to provide accurate, complete, and current information during registration and throughout your use of the services.

4.3 You are responsible for maintaining the confidentiality of usernames, passwords, access codes, and other login credentials.

4.4 You must notify us immediately if you suspect unauthorised access, credential compromise, or misuse of your account.

4.5 We may suspend or restrict access where we reasonably believe your account is being used unlawfully, insecurely, fraudulently, or in breach of these Terms.

5. Subscription Plans and Service Access

5.1 SoftDayta Credit may offer subscription packages such as SoftDayta Credit and Community Finance Access Programme, each with different features, support levels, reporting functionality, and commercial terms.

5.2 Subscription features and pricing may vary by package and may be updated from time to time.

5.3 Certain features, including contract management, reporting support, compliance outputs, and credit-check functionality, may only be available on specific plans.

5.4 Access to services is granted on a limited, non-exclusive, non-transferable, revocable basis for your internal business use only.

5.5 You may not resell, sublicense, lease, white-label, distribute, or commercially exploit the platform without our prior written consent.

6. Free Trials

6.1 We may offer free trial access for selected plans or services.

6.2 Trial access is provided for evaluation purposes only and may be limited in duration, functionality, storage, support, customer volume, or user access.

6.3 We may modify, withdraw, suspend, or terminate a trial at any time.

6.4 Unless otherwise stated by us in writing, a free trial does not create an obligation on us to continue access beyond the trial period.

6.5 If you continue using the services after a trial period and choose a paid plan, the applicable subscription fees and these Terms will apply.

7. Fees, Billing, and Payment

7.1 You agree to pay all applicable subscription fees, advisory fees, setup fees, support fees, or other charges associated with the services you purchase.

7.2 Fees may be charged monthly, per engagement, per support package, or on another basis communicated by us.

7.3 All prices are subject to change on notice. Updated pricing may apply to renewals, upgrades, additional users, or expanded customer volumes.

7.4 Unless otherwise stated, all fees are payable in advance, non-refundable, exclude taxes, levies, duties, bank charges, and transaction fees, and must be paid in the currency specified by us.

7.5 If payment is overdue, we may suspend or restrict access, withhold services, charge interest where legally permissible, or terminate the subscription or engagement.

7.6 You are responsible for ensuring timely payment and accurate billing information.

8. Upgrades, Downgrades, and Plan Limits

8.1 You may request to upgrade or downgrade your plan, subject to our pricing structure and operational requirements.

8.2 If your usage exceeds the limits of your subscription, including customer numbers or users, we may require you to upgrade to the appropriate package.

8.3 Downgrades may result in reduced functionality, loss of access to certain features, or limitations in support and reporting.

8.4 We are not liable for business disruption caused by your failure to maintain a suitable plan for your operational needs.

9. Advisory and Accounting Services

9.1 SoftDayta Credit may offer optional accounting and advisory support, including bookkeeping, loan book reconciliations, management accounts, financial statements, tax support, NBFIRA returns, and audit preparation support.

9.2 Advisory Services are provided based on the information, records, explanations, and documents supplied by you.

9.3 You remain responsible for the completeness and accuracy of all underlying records and source documents, and we may rely on information supplied by you without independently verifying all underlying facts unless expressly agreed otherwise.

9.4 Unless expressly agreed in writing, Advisory Services do not include statutory audit services, legal advice, formal tax opinions, regulatory licensing services, litigation support, debt collection agency services, or outsourced executive decision-making.

9.5 Any filing, reporting, or return prepared with our support remains your responsibility to review and approve before submission, unless we are expressly authorised in writing to submit it on your behalf.

10. Loan Calculator and Informational Tools

10.1 The public loan calculator and schedule tools are provided for general information and estimation purposes only.

10.2 Calculations generated by the calculator may depend on assumptions, inputs, rounding, timing conventions, repayment structures, fees, and interest methodology.

10.3 You are responsible for verifying all outputs before relying on them for lending, contract, legal, accounting, or compliance purposes.

10.4 SoftDayta Credit does not warrant that calculator outputs are suitable for every lending model, legal contract, regulatory requirement, or borrower arrangement.

11. Customer Responsibilities

11.1 You agree to use the services lawfully and in good faith, maintain accurate and current records in the platform, keep login credentials secure, ensure all data entered into the platform is lawfully obtained and used, comply with all applicable lending, financial, tax, employment, privacy, anti-money laundering, consumer protection, and regulatory requirements, and ensure your internal users are properly trained and supervised.

11.2 You must not use the services for unlawful, fraudulent, deceptive, abusive, or discriminatory purposes, upload malware, malicious scripts, or harmful code, attempt to gain unauthorised access to the platform or related systems, reverse engineer, copy, scrape, modify, or attempt to extract source code from the platform, use the services to infringe the rights of any person, or use the services in a way that disrupts our systems or other customers.

12. Customer Data and Privacy

12.1 As between you and SoftDayta Credit, you retain ownership of the data you submit to the platform, subject to the rights necessary for us to host, process, support, protect, and improve the services.

12.2 You grant us the right to use, host, store, transmit, back up, process, and display your data to the extent reasonably necessary to provide the services.

12.3 You warrant that you have all necessary rights, notices, and lawful grounds to collect, use, store, and process borrower data and other information entered into the platform.

12.4 You are responsible for complying with all applicable data protection and privacy laws relating to your borrowers, customers, staff, and users.

12.5 We will take reasonable technical and organisational steps to protect the confidentiality and integrity of customer data, but no online service can be guaranteed to be completely secure.

12.6 We may use anonymised and aggregated data for internal analytics, service improvement, system monitoring, benchmarking, and product development, provided that such data does not identify you or your borrowers personally.

13. Security and Access Control

13.1 SoftDayta Credit may implement role-based access, session controls, protected logins, and other security measures to support controlled use of the platform.

13.2 You are responsible for managing internal user permissions and for promptly removing access for staff or contractors who no longer require access.

13.3 We may suspend access where we believe continued access presents a security, legal, reputational, or operational risk.

14. Service Availability, Support, and Changes

14.1 We aim to keep the platform available and operational, but we do not guarantee uninterrupted or error-free access at all times.

14.2 Services may be affected by maintenance, updates, network issues, third-party outages, force majeure events, security issues, or events beyond our control.

14.3 We may from time to time modify features, improve workflows, update interfaces, add or remove tools, or change service architecture.

14.4 We will use reasonable efforts to maintain service continuity, but we reserve the right to alter, suspend, or discontinue any part of the services.

14.5 Support levels may depend on the customer’s package, scope of engagement, and active subscription status.

15. Intellectual Property

15.1 All intellectual property rights in the website, platform, software, content, branding, workflows, templates, processes, documentation, dashboards, designs, graphics, and related materials belong to SoftDayta Credit or its licensors.

15.2 Nothing in these Terms transfers ownership of any intellectual property to you.

15.3 You may not copy, modify, distribute, reproduce, republish, transmit, license, sell, or create derivative works from any part of the services except as expressly permitted by us in writing.

15.4 You retain ownership of your own uploaded data, records, and business content, subject to the licence granted to us under these Terms.

16. Confidentiality

16.1 Each party agrees to keep confidential all non-public commercial, financial, operational, technical, and business information received from the other party in connection with the services.

16.2 Confidential information may only be used for the purpose of performing or receiving the services.

16.3 This clause does not apply to information that is or becomes public through no breach, was already lawfully known, is independently developed without use of the confidential information, or must be disclosed by law, regulation, court order, or regulatory requirement.

17. Compliance and Regulatory Responsibility

17.1 You acknowledge that you are solely responsible for ensuring your lending operations comply with all laws, regulations, licence conditions, and regulatory requirements applicable to your business.

17.2 Any references to reporting support, regulatory support, NBFIRA-related outputs, or credit-check tools do not amount to a guarantee of regulatory approval, filing acceptance, inspection outcomes, or legal compliance.

17.3 SoftDayta Credit is not liable for penalties, fines, licence actions, borrower claims, enforcement action, or business losses arising from your failure to comply with applicable legal and regulatory obligations.

18. Third-Party Services and Dependencies

18.1 The services may depend on internet access, hosting providers, browsers, payment providers, email delivery services, document generation tools, PDF libraries, or other third-party services.

18.2 We are not responsible for failures, delays, or disruptions caused by third-party infrastructure or services outside our reasonable control.

18.3 Where integrations or third-party tools are made available, their use may also be subject to separate third-party terms.

19. Disclaimers

19.1 The services are provided on an “as is” and “as available” basis, to the fullest extent permitted by law.

19.2 SoftDayta Credit does not warrant that the services will meet every business need, the platform will be uninterrupted, error-free, or immune from downtime, the outputs will be sufficient for legal or regulatory purposes without your review, borrower behaviour, repayment outcomes, collections performance, or portfolio performance will improve, or that use of the platform will guarantee profitability, compliance, funding, or operational success.

19.3 You are responsible for reviewing all statements, schedules, calculations, reports, contracts, and records generated through the services before using them in your business.

20. Limitation of Liability

20.1 To the fullest extent permitted by law, SoftDayta Credit shall not be liable for any indirect, incidental, special, punitive, or consequential loss, including loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of data, reputational damage, regulatory sanctions, or loss arising from borrower default or lending decisions.

20.2 SoftDayta Credit shall not be liable for losses arising from inaccurate data entered by you, misuse of the platform, unauthorised access caused by your failure to protect credentials, your lending, underwriting, pricing, or collections decisions, legal or regulatory non-compliance by your business, or reliance on outputs without appropriate review.

20.3 To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the services shall not exceed the total fees paid by you to SoftDayta Credit for the specific service giving rise to the claim during the three months preceding the event giving rise to liability.

20.4 Nothing in these Terms excludes liability that cannot lawfully be excluded.

21. Indemnity

You agree to indemnify, defend, and hold harmless SoftDayta Credit, its owners, directors, staff, contractors, and affiliates from and against claims, losses, liabilities, damages, costs, and expenses arising out of or in connection with your use of the services, your lending operations, your borrower relationships, your breach of these Terms, your breach of law or regulation, or your infringement of the rights of any third party.

22. Suspension and Termination

22.1 We may suspend or terminate your access to the services immediately if you breach these Terms, payment is overdue, your use presents security, legal, or reputational risk, you engage in fraud, misuse, or unlawful conduct, or we are required to do so by law.

22.2 You may terminate your subscription by giving notice in accordance with your plan or billing terms.

22.3 Termination does not extinguish accrued rights, unpaid fees, or obligations intended to survive termination.

22.4 Upon termination, your right to use the services ceases immediately, subject to any agreed data export or transition support arrangements.

22.5 We may delete or archive data after termination in accordance with our retention practices, unless otherwise required by law or agreed in writing.

23. Data Export and Record Retention

23.1 During an active subscription or within a reasonable period after termination, we may permit you to request export of certain records, subject to technical feasibility, security checks, outstanding fees, and applicable charges.

23.2 We are not obliged to retain your data indefinitely after termination.

23.3 You remain responsible for maintaining your own backup, record retention, and statutory document preservation obligations.

24. Force Majeure

SoftDayta Credit shall not be liable for delay or failure to perform any obligation due to events beyond its reasonable control, including natural disasters, internet outages, cyber incidents, labour disputes, power failures, war, civil unrest, governmental action, or failure of third-party suppliers or infrastructure.

25. Notices

25.1 Notices under these Terms may be given by email, platform notification, website posting, courier, or any other reasonable method of communication.

25.2 You are responsible for ensuring that your contact details remain current.

26. Changes to These Terms

26.1 We may amend these Terms from time to time by posting updated Terms on our website or otherwise notifying you.

26.2 Continued use of the services after such changes take effect constitutes acceptance of the revised Terms.

26.3 If you do not agree to the revised Terms, you must stop using the services.

27. Governing Law and Dispute Resolution

27.1 These Terms shall be governed by and interpreted in accordance with the laws of Botswana, unless otherwise required by mandatory law.

27.2 The courts of Botswana shall have jurisdiction in relation to disputes arising out of or connected with these Terms, unless the parties agree in writing to another dispute resolution mechanism.

27.3 Before commencing formal proceedings, the parties should first attempt in good faith to resolve the dispute through discussion and written notice.

28. General

28.1 If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force.

28.2 Our failure to enforce any right shall not constitute a waiver of that right.

28.3 You may not assign or transfer your rights under these Terms without our prior written consent.

28.4 We may assign or transfer our rights and obligations under these Terms as part of a business restructure, transfer, sale, or outsourcing arrangement.

28.5 These Terms, together with any applicable proposal, subscription terms, service order, pricing schedule, engagement letter, or privacy policy, constitute the entire agreement between the parties in relation to the services.
